In this course, you’ll learn how and why businesses choose different legal structures—and how those choices shape liability, taxation, governance, and financial risk. You’ll develop the ability to identify and compare sole proprietorships, partnerships, corporations, and limited liability companies, and to evaluate how each structure affects owners, investors, and advisors in real-world business situations. You’ll begin by examining the foundational characteristics of each business form, including ownership, authority, and exposure to personal liability. From there, you’ll explore how partnerships operate in practice, how corporations are formed and governed, and how businesses raise capital through debt and equity. Throughout the course, you’ll apply these concepts to realistic scenarios that mirror the kinds of decisions accountants and business professionals face every day. What makes this course unique is its applied, judgment-focused approach. Rather than memorizing definitions, you’ll practice analyzing trade-offs, assessing risk, and explaining why one structure may be more appropriate than another in a given context. Syllabus

  • Choosing the Right Business Structure
    • In this module, you’ll explore the major ways businesses are legally structured and why those choices matter. You’ll examine sole proprietorships, partnerships, corporations, and limited liability companies, focusing on how ownership, liability, and taxation shape legal and financial responsibility. By the end of the module, you’ll be prepared to recognize the key features and trade-offs of each structure and understand why these distinctions are foundational for accountants and business advisors.
  • Partnerships in Practice
    • Partnerships can form more easily—and carry more risk—than many people realize. In this module, you’ll examine how partnerships are created, how partners relate to one another, and how authority works inside a partnership. You’ll see how actions taken by one partner can bind the entire business and why clear agreements and communication are essential for managing liability and trust.
  • Corporations—Structure, Governance, and Capital
    • Corporations are built for longevity, growth, and investment—but they come with added complexity. In this module, you’ll explore what makes a corporation a separate legal entity, how corporate governance is structured, and who holds decision-making power. You’ll also examine how corporations raise capital through debt and equity and how those financing choices affect control and risk.
  • Applying Business Structure Knowledge
    • This final module brings everything together. You’ll review key concepts from the course and apply what you’ve learned to real-world business situations. By stepping back and looking across structures, you’ll strengthen your ability to analyze how legal form influences liability, taxation, and professional judgment—skills that are essential for accountants and business professionals alike.
