What's the difference between an NDA that protects your business and one that quietly gives it away? This Short Course was created to help Legal professionals accomplish precise, risk-aware drafting of non-disclosure agreements across three common structural variants. By completing this course, you'll be able to craft side-by-side confidentiality definitions, analyze survival and residuals clauses, and catch the hidden IP grabs and disguised non-solicits that make vendor NDAs dangerous — skills you can apply the next morning in any contract review. By the end of this course, you will be able to: - Draft mutual, one-way, and time-limited confidentiality definitions that accurately reflect the provided fact pattern and vary only where required by each NDA type - Analyze residuals and term-survival clauses across the three NDA drafts to identify how each affects post-term information use - Evaluate a third-party NDA against the red-flag checklist to flag overbroad IP grabs, disguised non-solicits, and unlimited duration terms This course is unique because it trains legal professionals to work simultaneously across three NDA structures using a single fact pattern, sharpening precision in clause-level differentiation and adversarial contract review. To be successful in this course, you should have a background in contract law fundamentals and experience reading or drafting commercial agreements at a mid-level legal professional capacity.

Syllabus

  • Evaluating a Third-Party NDA Against the Red-Flag Checklist
    • Learners evaluate an incoming vendor NDA against a structured red-flag checklist to identify overbroad IP grabs, disguised non-solicits, and unlimited duration terms, and deliver clause-level accept/revise/reject recommendations.
